How to Start an LLC in Idaho (2026)
Idaho keeps LLC formation about as lean as it gets. You form the company by delivering a Certificate of Organization to the Idaho Secretary of State, the filing authorized by Idaho Code § 30-25-201. Submit it on paper and the fee is $120, because Idaho adds a $20 manual processing surcharge to paper filings and requires the form to be typed.
One quirk worth knowing before you go form hunting: Idaho Secretary of State forms are unnumbered. Plenty of states stamp their filings with codes; Idaho identifies every document by name alone. If a website quotes you an Idaho form number, treat the rest of its advice with suspicion.

Form Your Idaho LLC in Six Steps

- Put an operating agreement in writing. Idaho never sees this document, but your bank will ask for it and a court will read it if members ever disagree. Without one, Idaho's default statutory rules decide questions you probably wanted to decide yourself.
- Get your EIN. Apply on the IRS website and the Employer Identification Number usually comes back within minutes, at no charge. Never pay a third party for one.
- Mark the annual report deadline. The report is due by the last day of your anniversary month every year and is free to file through SOSBiz.
